Vetlogic.co.uk is owned by The Keyskill Company UK Ltd. The Website supplies online content to colleges, universities and training organisations and businesses. These educational establishments, referred to as Authorised Members, pay an annual subscription to The Keyskill Company UK Ltd. We grant a non-exclusive, non-transferable license to use the Course Materials for the sole purpose of education, and teaching within an educational context.
1. All Users of the content at vetlogic.co.uk
Authorised Members who pay an annual subscription release the content on the website vetlogic.co.uk, to their Users (students, staff, employees, tutors) OR import the content Files into their own virtual learning environment.
If, as an Authorised member, you wish to import the Course Materials into your organisation’s virtual learning environment, an additional license and fee is required.
These are the Terms and Conditions (referred to as ‘Terms’) on which you may use the content on the vetlogic.co.uk website (referred to as ‘Website’), and the online content/services available on it. The Terms and all of The Keyskill (UK) Ltd content apply to your use of vetlogic.co.uk irrespective of the delivery platform you use – e.g. desktop PC, laptop, mobile device, PDA or otherwise – and irrespective of how the Keyskill content is delivered to you – e.g. web browser, Files, WAP browser, email, SMS or otherwise. In these Terms, ‘we’, ‘us’, ‘Keyskill’ means: - The Keyskill Company UK Ltd, Baldoon, Burleigh, Stroud, Gloucestershire, GL5 2PW, United Kingdom, and ‘you’ means the User of this Website.
By accessing www.vetlogic.co.uk you are agreeing to the ‘Terms’.
If you use vetlogic.co.uk in the course of your employment of an Authorised Member, you are agreeing to these Terms and Conditions on behalf of that business. Along with the Keyskill invoice these Terms constitute a binding agreement (“Agreement”) between you, in your capacity as a representative of the Authorised member, and the Keyskill Company UK Ltd.
The majority of Users access this site as a student (User) studying with an Authorised Member or by paying for the Service, or on a ‘free trial’ In each of these cases you agree to be bound to the Terms and Conditions.
If you have entered this site by fraudulent means you are also bound to the Terms and Conditions but you are not recognised as a User by Keyskill Company (UK) Ltd.
No amendments or variation of these Terms shall be effective unless made in writing and accepted by both of parties.
The receipt of services is personal to you and you may not transfer your rights to access the course materials, or to receive the services from another person unless we have consented in writing to you to do so.
If any provision of these Terms becomes void or otherwise unenforceable in whole or in part, the validity of the remainder of these Terms shall not be affected.
If either we or you fail to enforce or delay in enforcing any of our respective rights or remedies under these Terms, such failure or delay shall not operate as an agreement to waive that right or remedy. Neither shall it prevent us from exercising that right or remedy in the future.
By using the Website you agree to be bound by these Terms, and the Private Policy Statement and the Copyright Statement.
We reserve the right to amend these Terms from time to time. When we make a change we will draw your attention to it on these pages. The date of the last revision to these Terms is provided at the end of the document. We recommend that you revisit this page from time to time to ensure that you are aware of any changes that we have made to these Terms. The continued use of the Website following any changes to the Terms will mean that you accept such changes.
1. Purpose of the Website
The purpose of the Website is to supply colleges, universities and training providers and businesses with engaging content that responds to requirements for the education of veterinary nurses and veterinary science students.
Although the Website is openly available to all, it is specifically intended as learning materials. The information is not intended for diagnosis or medical procedures.
2. Copyright
Unless otherwise stated all content of the Website are © 2004 The Keyskill Company (UK) Ltd. The materials on the Website are protected by our copyright and by third party copyright and other intellectual property rights as described in the Keyskill Copyright Statement. 3. Third party sites and services
Vetlogic.co.uk contains links to other Internet websites and mobile services provided by independent third parties,(“Third Party Sites”) either directly or through separate Tabs. Keyskill Company (UK) Ltd is not responsible for the availability or content of Third Party Sites and will not be a party to or in any way responsible for any transaction concerning goods or services available from such Third Party sites. If you purchase products or services from a Third Party site your contract for such products or services will be with the Third Party and not with the Keyskill Company (UK) Ltd. Our Privacy Policy does not apply to Third Party Sites.
Keyskill may contain indirect advertising, for example a photograph that names a manufacturer of a medicine. Advertisers or manufacturers are responsible for ensuring that material selected for inclusion on vetlogic.co.uk complies with international and national law. Keyskill will not be responsible for any error or inaccuracy in advertising or sponsorship material.
4. Linking
If you want to link to vetlogic.co.uk please read and comply with the following guidelines and all applicable laws. A site or service that links to vetlogic.co.uk: -
May link only to the homepage of vetlogic.co.uk unless Keyskill has otherwise given prior written permission;
Must not in any way imply that Keyskill Company (UK) Ltd is endorsing it or its products or services;
Must not misrepresent its relationship with Keyskill or present false information about Keyskill Company (UK) Ltd;
Must not be a site or service that infringes any intellectual property or other right of any person or that otherwise does not comply with all relevant laws and regulations.
Must not be a site or service that contains content that could be construed as distasteful or offensive.
Keyskill Company (UK) Ltd expressly reserves the right to require that any link in breach of these Terms and Conditions be removed and to take whatever other action it deems appropriate.
If an Authorised Member imports the content Files into their virtual learning environment, they are responsible for their own policy with linking.
5. Tracking an individual’s educational progress, and assessment achievements.
A learning management system is an integral part of the Keyskill Company (UK) Ltd website, the purpose of which is to track an individual’s progression in a course(s)/unit(s). It also records and stores each User’s score when they complete multiple-choice questions and various assessments of learning. A tutor or employer of a User or Group of Users is able to use the learning management system to monitor the progress and score(s) of the Users. By using the Website a User agrees that the results from assessments on the website and a users’ progress in a Unit(s) may be viewed by other persons. The Users are agreeing to allow tutors and employers to have access and knowledge of their scores and progress. Keyskill Company (UK) Ltd is not liable to an Authorised Member or User if progress reports or scores are lost or removed. Keyskill Company (UK) Ltd is not liable for damages if the progress or scores of User(s) become available to other Users or Authorised Members of the Website.
6. Intellectual Property
You acknowledge that all copyright, trade marks,and other intellectual property rights in and relating to Keyskill’s website and services are owned by Keyskill. It is easy to copy material that appears on websites but that does not mean it is legal to do so. Therefore, no-one may copy, distribute, show in public or create any derivative work from Keyskill, or any material which is found on the Website unless properly licensed to do so by us. The license is a separate document between an Authorised Member and The Keyskill Company UK Ltd. You will be liable for any damage or harm arising from any infringement of intellectual property rights, whether belonging to the company or any other third party, if that damage or harm results in your act, omission or default.
7. Alerting Keyskill: errors, omissions, infringements
We have made every effort to ensure that the site content is accurate and up to date. However, we do not warrant the site and its content are error free or without omissions. Legislation, technology, protocols and medicines are constantly changing. You are agreeing to advise Keyskill Company (UK) Ltd of any errors, mistakes, infringements or other information, which affects this site and its content. We would be grateful if you would do this in a timely manner by e-mail or First Class post. We are delighted to receive suggestions, ideas, new procedures and any other information that will enhance, correct or improve the site. 8. General
These Terms are governed by and shall be construed in accordance with English law. Any dispute arising between us under or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the English courts.
These Terms constitute the entire Agreement between us in relation to the provision by us to you of the Services, and they replace and supersede any prior arrangements between us in relation to the Services. You acknowledge that you are not relying on any statement made by us or any of our representatives with regard to the Services other than those expressly set out in these Terms, (which includes, for the avoidance of doubt, the description of the Services set out on the Website. Nothing in the Paragraph shall exclude or restrict our liability for fraud or fraudulent misrepresentation.
The Agreement between us which is comprised of these Terms is not intended to be for the benefit of any third party, and shall not be exercisable by any other person under the UK Contracts, (Rights of Third Parties) Act 1999, or otherwise.
9. Applicable to colleges, universities, training organisations, businesses, individual subscribers and free trial viewers who are referred to as Authorised Members.
Keyskill operates the following ‘Paid for’ services: an annual subscription service for colleges, universities, training organisations and businesses to access its content at vetlogic.co.uk or within its own virtual learning environment. By subscribing to receive this Paid for Service as well as the above Terms and Conditions you are also agreeing to the Terms in this section. Keyskill reserves the right to vary the Paid for Services and does not guarantee that a Paid for Service will remain paid for or that a free-of-charge/trial service will remain free-of-charge/free trial.
Keyskill reserves the right to suspend or terminate your subscription to the Paid for Services if you breach the Terms and Conditions, with or without notice and without further obligation to you.
Pricing: Keyskill will notify you in advance of any price increases. If we give you a free trial you will only be charged for your Keyskill subscription with effect from the expiry of that free trial period. Eligibility for any discounts is ascertained at the time you subscribe and cannot be changed during the term of your subscription.
Payment by an Authorised Member
To become an Authorised Member, you agree to pay us a license fee. The fee is determined solely by Keyskill. The price to an Authorised member of an educational establishment, training provider or business is based on the number of students accessing the Website, and to the number of employers/mentors who may be sharing the website with the students.
Authorised Members who pay an annual subscription release the content on the Website, vetlogic.co.uk to their Users (students, staff, employees, tutors) OR import the content Files into their own virtual learning environment and provide access to their students.
If, as an Authorised member, you wish to import the Course Materials into your organisation’s virtual learning environment, an additional license and fee is required.
As an Authorised User you are liable to pay us the annual License Fee in full within 30 days after receipt of an invoice or the date specified in an invoice, whichever comes first. A late payment charge of one and one-half percent (1.5%) per month may be added to any unpaid balance after thirty (30) days. The fee is determined solely by Keyskill.
Invoice: The Keyskill Company (UK) Ltd's invoice is incorporated by reference into this Agreement, and all references to this Agreement shall include The Keyskill Company (UK) Ltd's invoice. Along with the Keyskill invoice, these Terms constitute a binding agreement (“Agreement”) between you and Keyskill Company (UK) Ltd. If you are entering into this Agreement on your employer’s behalf, the Agreement applies to your employer and to you.
10. Warranties
Keyskill shall develop and operate vetlogic.co.uk with reasonable skill and care and has reasonable security procedures in place.
Keyskill warrants that it will endeavour to remedy any faults in the Website of which it is aware.
Keyskill hereby disclaims all other warranties, conditions or duties of every nature whatsoever (except any duties of good faith), including without limitation, any implied warranties of satisfactory quality, merchantability or of fitness for a particular purpose, any express or statutory warranties, and any warranties or duties regarding accuracy, timeliness, completeness, performance, availability, lack of negligence, or of workmanlike effort. Neither do we provide any warranty that Keyskill is free from infection by viruses or anything else that has contaminating or destructive properties.
The Keyskill content available is only for your general education and use and is not intended to address your particular requirements. In particular, the Keyskill content does not constitute any form of advice, recommendation, representation, endorsement or arrangement by Keyskill and is not intended to be relied upon by Users in making, or refraining from making, any specific diagnosis or medical procedures. Appropriate independent advice or instruction should be obtained before making any such decisions. Any agreements, transactions or other arrangements made between you and any third party named on (or linked to/from) vetlogic.co.uk are at your sole risk and responsibility.
Please note that specifically this site and its content are primarily educational and teaching resources aimed at teachers, lecturers, and students. Although, the content is openly available to all to some extent, they are specifically intended as learning materials. The information is not intended for diagnosis or medical procedures. Under no circumstances should the content be used as a substitute for professional medical instruction, diagnosis or advice. Keyskill has no liability whatsoever and will not be responsible for the use of its information in medical or veterinary application. Information is intended for initial educational instruction.
You agree to use the Website and information in an ‘as is’ and ‘as available’ state. Information on this Website may be incomplete, out of date or inaccurate and may contain technical inaccuracies, or errors. Information may be changed or updated without notice.
11. Force Majeure
Keyskill shall not be responsible to you in the event that we cannot provide the Services to you due to an event beyond our reasonable control, which includes (but is not limited to) events such as fire, flood, storm, strikes or other industrial action, failure of telecommunications and other third party telecommunications services, war, riot, terrorism or the actions of any government or public body. In the event that we are prevented from providing the services by such an event, we will take all reasonable steps to try to reinstate the provision of the services to you as soon as is reasonably practicable.
12. Limitation of Liability
Except as expressly stated below:
(a) we shall not in any circumstances have any liability for any losses or damages which may be suffered by you (or any person claiming under or through you), whether the same are suffered directly or indirectly or are immediate or consequential, and whether the same arise in contract, tort (including negligence) or otherwise, which fall within any of the following categories:
(i) special damage even if you were unaware of the circumstances in which such special damage could arise;
(ii) loss of profits;
(iii) loss of anticipated savings;
(iv) loss of business opportunity;
(v) loss of goodwill;
(vi) loss or corruption of data,
provided that this paragraph shall not prevent claims for loss of or damage to your tangible property that fall within the terms of next paragraph (b) or any other claims for direct financial loss that are not excluded by any of categories (i) to (vi) inclusive above;
(b) our total liability of, whether in contract, tort (including negligence) or otherwise and whether in connection with access and use of the Website and (if relevant) use of an email account, shall in no circumstances exceed a sum equal to the Fees paid by the Customer; and
(c) you agree that, in entering into this Agreement, either you did not rely on any representations (whether written or oral) of any kind or of any person other than those expressly set out herein or (if you did rely on any representations, whether written or oral, not expressly set out herein) that it shall have no remedy in respect of such representations and, (in either case) we shall have no liability in any circumstances otherwise than in accordance with the express terms of these Terms and Conditions.
The exclusions above shall apply to the fullest extent permissible at law, but we do not exclude liability for:
(d) death or personal injury caused by the negligence of us or our officers, employees, contractors or agents;
(e) fraud or fraudulent misrepresentation;
(f) breach of the obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or
(g) any other liability which may not be excluded by law.
All references to us shall for the purposes of the above two paragraphs only be treated as including all our employees, all of whom shall have the benefit of the exclusions and limitations of liability set out in this paragraph.
Each provision of the Paragraph shall be construed separately as between you and us. If any part is held by a court to be unreasonable, inapplicable or unenforceable, then the other parts shall still apply.
Keyskill shall endeavour to remedy any faults in vetlogic.co.uk of which it is aware.
We reserve the right to withdraw all or part of the website if it has been compromised.
13. Terms that apply to all Users when registering on the Website
As a User (Member) studying with or employed by an Authorised member or when paying for your own access or on a ‘free trial’ there are Terms to agree.
Registration
To register as a New Account of the Website you must be at least 16 years old. You agree that the information that you provide to us on registration and at all other times will be true, accurate, current and complete and you agree that you will ensure it is kept accurate and up to date at all times. Keyskill may refuse to accept your application to register as a member of Keyskill for any reason at its absolute discretion.
14. Password security
You register by submitting your name, a user name and password, email address, college you attend and whether you are a Learner or an Educator. As you will be responsible for all activities that occur or are submitted under your user name and password, you should take care to keep your user name and password confidential. You must notify Keyskill immediately of any unauthorised use of your user name or password or if you believe that your user name or password are no longer confidential. Keyskill Company (UK) Ltd reserves the right to require you to alter your username and password if there is reason to believe they are no longer secure. If you know or suspect that someone knows your password, you should notify us by contacting us immediately. The information that you provide to us upon registration and at any other time is subject to the Keyskill Company (UK) Ltd's Privacy Policy.
15. Provision of the Services
Before you can gain access to the site you need to create a New Account. Once you submit your contact details an auto-generated email requests you confirm your profile details. When you confirm your details, you gain access to vetlogic.co.uk . To access the Units requires an enrolment key.
Staff, other employees and learners who access the Website via an Authorised Member will be given an enrolment key to access the Units by their Authorised Member. If this information does not materialise contact the Keyskill Company (UK) Ltd.
16. Your rights as a User to the Course Materials and your Related Obligations
The Course Materials are for the sole purpose of education and teaching within an educational context. You may make copies of the Course Materials as they appear on the Website as necessary incidental acts during your viewing of it. You may print for your personal use so many pages of the Course Materials on the Website as are reasonable for private purposes, but not for reproduction of the material.
Save as expressly set out in these Terms, you may not modify, copy, reproduce, re-publish, upload, post, transmit, or distribute in any way any of the Course materials. Any use of the Course Materials not expressly permitted in these Terms is strictly prohibited and will constitute an infringement of, either our copyright, or our intellectual property rights, and/or the copyright or other intellectual property rights of our licensors.
17. Ownership of the Website
All Keyskill Content belongs to Keyskill or its licensors. Keyskill Company (UK) Ltd or its licensors own all the intellectual property rights, (including copyright and database rights) in the Keyskill Company (UK) Ltd's content and any selection or arrangement by the Keyskill Company (UK) Ltd.
Content : You may for your personal, non-commercial use display The Keyskill Company (UK) Ltd content on any compatible device.
18. Application of Terms.
These Terms and Conditions (‘Terms’) apply to the provision of course content on www.vetlogic.co.uk (the ‘Website’) or when delivered within a virtual learning environment by an educational organisation such as a college or university or training provider, charity or business that subscribes to the Keyskill Company (UK) Ltd .
Please read all the Terms carefully before accessing the content. ‘You’ are agreeing to ALL sections of this Agreement. Your primary contract is with the Authorised Member and not with Keyskill Company (UK) Ltd.
